Is a Licence to assign a lease?
A licence to assign is a landlord’s permission for a tenant (the assignor) in occupation under a lease to assign the lease to a new incoming tenant (the Assignee). Under Section 19(A) of the Landlord and Tenant Act 1927, the landlord should not unreasonably withhold consent to the assignment of the lease.

Do you need a Licence to assign?
A very common provision found in both residential and commercial leases, is a requirement for the Tenant to obtain the Landlord’s prior consent to any transfer (assignment) of the Lease. The consent itself is referred to as the Licence to Assign.
When do you need a licence to assign a lease?
The licence to assign is where the landlord and owner of the property grants permission to its tenant to sell or transfer the remaining term of the lease to another party, who will take over as the tenant. There are situations in which a tenant will want to assign their lease.
When do you sign a licence to assign?

Can a landlord assign the remainder of a commercial lease?
Refer to your Commercial Lease Agreement. Like a sublease clause, there should also be a statement in the original commercial lease addressing whether a tenant can assign the remainder of a lease to a third party. The clause may require you to seek written consent from your landlord.

Can a tenant assign a lease to another business?
Most commercial leases, however, will include provisions preventing the tenant from assigning the lease without the landlord’s prior written consent (and, if so, the landlord is under a statutory duty not to unreasonably withhold or delay providing their consent).

The Director of Environment and Housing agreed i) That Licences to Assign are provided to the relevant leaseholders where one or both of the flats are to be assigned in future instances. ii) That retrospective written approval is given to the leaseholder providing approval to the works of conversion effected to the basement iii) That all reasonable Legal and Administrative Fees are met by the leaseholder in dealing with this matter Appendix 1 to this report has been marked as exempt under Access to Information Procedure Rules 10.4 (3) on the basis that it contains information relating to the financial or business affairs of any particular person (including the authority holding that information) which, if disclosed to the public, would, or would be likely to prejudice the commercial interests of that person or of the Council
