Collections, Demand Letters, & Judgments

In a perfect world, everyone would pay their bills on time. Unfortunately, that’s not the world we live in. When your clients or customers fail to pay their accounts timely, it affects the whole way you operate business. Delaying to collect is the biggest mistake businesses make. If you wait, you risk that the debtor may move, go out of business, go bankrupt, or that other creditors collect from them first. You also have to be careful to make sure you do not violate the law in your collection techniques by complying with the Fair Debt Collection Act . Contact King Law Offices as soon as accounts become delinquent to ensure your rights are protected. We are experienced in collections and have had success in collecting by sending demand letters and by obtaining judgments.

Incorporation & LLCs

One of the most important things you can do for your business is to incorporate or form a limited liability company (LLC). Failing to do so puts your personal assets at risk and could be sued. Businesses are routinely sued for breach of contract, accidents, and other legal issues. Don’t put your home and your family’s other personal assets at risk. Call King Law today at  888-748-5464 (KING)  to discuss options for incorporation or forming an LLC. Our attorneys are experienced in drafting articles of organization, articles of incorporation, bylaws, operating agreements, board resolutions, filings with the Secretary of State, and other important corporate documents.

Non-Profit 501(c)(3)

How to form a non-profit corporation and obtain tax-exempt status.

The first thing you should do before starting a 501(c)(3) non-profit organization is make sure you have done research and are creating a non-profit organization that is needed. Make sure the goals that you have are reasonable and can be achieved. Also, you will need to pick out a name for your organization and make sure that it has not been used before. You can search on the  Secretary of State’s  website to determine name availability.

Next, establish a board of directors. Each non-profit organization is required to have a board. It can be made up of only one person, but it is recommended to have more. Once you have selected who will be on your board of directors, the next step is actually forming the organization. First, you should file your articles of incorporation with the North Carolina Department of the Secretary of State.

Then, your organization will need bylaws created. These bylaws will need to be adopted by your board of directors. These will govern your organization and make sure everything is ran smoothly, as well as being the go-to document when disagreements and procedure questions arise.

Afterwards, a  Federal Employer Identification Number  (EIN) will be needed and  application for tax-exempt status  as a 501(c)(3) non-profit will follow. Once you achieved federal tax-exempt status, you can apply for state tax exempt status by contacting the  NC Department of Revenue  and local tax exempt status by contacting your local county tax office.

Also, if you solicit donations for your non-profit, you will need to obtain a  Charitable Solicitation license  from the Secretary of State’s office. Once all of this is completed and all of the right forms have been submitted, your organization should be created! The process can be long, arduous, and even taxing; therefore, please  contact one of the attorneys at King Law to assist you in this new endeavor!

Business Law

Are you starting a business or purchasing an existing business? The attorneys at Hannah Sheridan and Cochran have nearly forty-five years of combined experience in navigating the legal challenges that North Carolina businesses face. We regularly assist clients with everything from selecting the best business entity type for their needs to ensuring continued compliance with complex state laws. We are well-versed in contract law and routinely guide clients through contract negotiations and drafting, as well as contract and business disputes.

Business Formation

Starting a business is both an exciting and daunting task. As an entrepreneur, you may have your business plan in place, but now realize there are several logistical steps to take before your business opens its doors to the public. HSC routinely counsels clients in the business formation process.

Our Raleigh, NC business lawyers assist our clients through a seemingly overwhelming list of legal formalities.

During business formation, you’ll face tasks we can assist with, including:

Through sound business practices, you can avoid expensive and time-consuming issues that could arise once your business becomes operational.

Business Contracts

Get help establishing a contract that states the promise between two or more parties, outlining the rights and obligations of each. Whether it’s a non-compete agreement, a transaction between buyer and seller, two business partners, or a service provider and recipient, the contract is an integral part of doing business legally.

A well-written contract is often the linchpin of a successful business relationship, setting forth the expectations of each party while also providing an aggrieved party with legal remedies against the breaching party.

However, many business owners neglect to seek legal advice before drafting or signing a contract, exposing themselves to substantial risk. Whether you are starting a new business or expanding an existing one, it is crucial you have a clear understanding of what your obligations are and how to enforce them if necessary.

You will need to understand the legal implications of entering into contracts and protect yourself from dangers that can threaten your business. Our lawyers can assist you with this, as well as develop appropriate agreements.

Business Dissolution

If you are facing a situation that requires you to cease operations or close your business, the business dissolution attorneys at HSC can help. While our attorneys do not participate in debtor bankruptcy filings, we can assist a business in following the statutorily mandated steps for dissolving a business.

There are two types of dissolution that exist within the North Carolina General Statues.

The first is voluntary dissolution. In accordance with North Carolina law, a corporate entity may be affirmatively dissolved by action of its board of directors, managers, or shareholders, depending upon the corporate form of the entity.

Failure to file annual reports can result in the second type of dissolution, which is administrative dissolution.

Revenue suspension is more punitive, and receivership mimics bankruptcy but is a state law remedy. Chad Cochran and Nan Hannah have served in the roles of receiver and/or counsel for receiver for a small company.

The attorneys at HSC can help companies with resolving suspensions and assist with reinstatement.

Business Disputes

Resolve business disputes efficiently and effectively without apprehension and frustration. HSC attorneys are experienced at negotiating and litigating matters throughout NC and understand the litigation concerns businesses face that can subtract from the profitability of the business. We advise you on the best options to resolve legal issues and protect your interests.

At HSC, you can find representation in areas of business disputes, including contract-related disputes, employee-related contracts, non-compete agreements, disputes between business partners or shareholders in areas including profit-sharing, alleged fiduciary duty, and business divorces, business disputes that arise between two or more businesses, and disputes arising out of business and asset purchases.

Starting a business involves consideration of what type of business entity to organize, and each choice has consequences, including tax implications and liability issues. Your choice of a business entity, as well as how the organizing documents are drafted, can significantly affect your profitability and exposure to liability. The attorneys at HSC can give you guidance and necessary advice based on years of legal and business experience.

Employment Law

Employer’s interests, as well as employees,’ are protected through employment law. Employment law is meant to offer significant benefits in the form of rights and responsibilities, ensuring all parties follow the rules set forth and are treated fairly. The experienced attorneys at HSC will be your advocates in employment disputes.

Employment law generally refers to a broad set of laws that originate from a multitude of sources, including:

These laws regulate employment contracts, hiring, firing, and layoffs; they also contain provisions that protect employees from discrimination and harassment and help to ensure employees and employers alike are held accountable for their actions and expected behaviors. The goal of employment law is to protect employees while still allowing for profitable businesses to operate.

The employment attorneys of HSC represent employers in employment law disputes before the state courts of North Carolina as well as the North Carolina Division of Employment Security and the U.S. Equal Employment Opportunity Commission.

Martindale-Hubbell® Client Review Ratings™ display reviews submitted by individuals who have either hired or consulted the lawyers or law firms.

The Client Review Rating score is determined through the aggregation of validated responses. People who submit reviews are either individuals who consulted with the lawyer/law firm or who hired the lawyer/law firm and want to share their experience of that lawyer or law firm with other potential clients. Reviewers can be anyone who consults or hires a lawyer including in-house counsel, corporate executives, small business owners, and private individuals.

Martindale-Hubbell validates that a reviewer is a person with a valid email address. As part of the review process, respondents must affirm that they have had an initial consultation, are currently a client or have been a client of the lawyer or law firm identified, although Martindale-Hubbell cannot confirm the lawyer/client relationship as it is often confidential. The content of the responses is entirely from reviewers.

Prior results do not guarantee a similar outcome and Martindale-Hubbell accepts no responsibility for the content or accuracy of any review. For more information on Martindale-Hubbell Client Review Ratings, please visit our Client Review Page

Martindale-Hubbell® Peer Review Ratings™ are the gold standard in attorney ratings, and have been for more than a century. These ratings indicate attorneys who are widely respected by their peers for their ethical standards and legal expertise in a specific area of practice.

The Martindale-Hubbell Peer Review Ratings process is the gold standard due to its objectivity and comprehensiveness. Lawyers solicited for peer reviews include both those selected by the attorney being reviewed and lawyers independently selected by Martindale-Hubbell. All reviewers are verified as attorneys through Martindale-Hubbell’s extensive attorney database. Only attorneys practicing at least three years and receiving a sufficient number of reviews from non-affiliated attorneys are eligible to receive a Rating.

What are the different Martindale-Hubbell Peer Review Ratings? *

• AV Preeminent®: The highest peer rating standard. This rating signifies that a large number of the lawyer’s peers rank him or her at the highest level of professional excellence for their legal knowledge, communication skills and ethical standards.

• Distinguished: An excellent rating for a lawyer with some experience. This rating indicates the attorney is widely respected by their peers for high professional achievement and ethical standards.

• Notable: This rating indicates that the lawyer has been recognized by a large number of their peers for strong ethical standards.

Lawyers who have received peer reviews after 2009 will display more detailed information, including practice areas, summary ratings, detailed numeric ratings and written feedback (if available). Details for individual reviews received before 2009 are not displayed.

Attorneys that receive reviews from their peers, but not a sufficient number to establish a Martindale-Hubbell Peer Review Rating, will have those reviews display on our websites.

What Are My Options for Structuring a Medium or Small Business in North Carolina?

One of the most important decisions you can make as a new business owner (or an established business owner looking for a change) is how to structure your business. This decision can impact tax liability, record-keeping practices, legal and financial liability, and decision-making processes.

Which kind of business entity will serve your new business venture best will depend on your individual circumstances, but here are a few you have to choose from:

Consult one of the experienced business law attorneys at Craig Associates to determine your best avenue for success.

What Does it Mean for My Business to be an LLC?

Limited liability companies (LLCs) separate the finances of a business from the personal finances of the owner(s) and serve to protect the owner’s personal property from being seized to pay company liabilities. If a client sues your LLC, for example, and wins a judgment, your personal property, such as your home, your investment accounts, or your savings, will not be used to pay those costs. This can be particularly important protection if you own a business that carries a higher risk of liability claims, such as a business that disposes of hazardous waste or serves alcohol, for example, an LLC can be a good business structure to choose to ensure that your company liability does not become your personal liability and potentially rob you of your personal and family possessions and investments. C Corporations can also limit personal liability. Whether a limited liability company or a C Corporation is the best choice for your business depends on a shifting kaleidoscope of factors best assessed by a knowledgeable business law attorney.

What Kinds of Things Can a Business Law Attorney Help With?

Running a business can require all kinds of legal contracts and documents, including employment agreements, confidentiality agreements, non-compete clauses, licensing agreements, employment termination practices, compensation packages, fair labor practices, and corporate structure documents, to name just a few. Seeking out legal services to help with this mountain of paperwork can help ensure that your business does not run into issues of commercial litigation, employee lawsuits, or government sanctions in the future. You need to be free to focus on running your business. Let our corporate lawyers take care of the rest.

Above video: Reactions pour in following Murdaugh verdict

Just minutes after Alex Murdaugh was convicted for the murders of his wife and son, his former law firm released a statement.

Murdaugh was found guilty Thursday night for killing his wife, Maggie, and son, Paul, on June 7, 2021 on the family's nearly 1,800-acre property.

The Parker Law Group, formerly PMPED, released a statement on its website and Facebook page which read, "The actions of Alex Murdaugh are shocking to us all. Tonight’s verdict, which was rendered after a thorough and fair trial, brings justice and some closure to this awful matter. Maggie and Paul died tragically and for reasons we may never fully comprehend. They were much beloved, and we will forever mourn their loss."

PMPED was founded in 1910 by Randolph Murdaugh Sr. It was renamed after it came to light that Alex Murdaugh had been embezzling large amounts of money from the firm over the course of several years.

Alex's brother, Randy Murdaugh, continues to work at the firm.
